Terms of Service

1. The Service

Grow Local provides a subscription-based website-building platform for local service businesses. The Service includes AI-generated website content, hosting on a Grow Local subdomain or your own custom domain, an editing dashboard, and related tools. Features and functionality may change from time to time at our discretion.

2. Account Registration

To use the Service, you must create an account by providing accurate business information, a valid email address, and payment details. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You must be at least 18 years old to create an account. You may not transfer your account to another person without our written consent.

3. Subscription, Billing, and Auto-Renewal

The Service is offered on a recurring monthly subscription at the price displayed at signup (currently $99 per month, subject to change with notice). Your subscription automatically renews each billing cycle until you cancel. By providing payment information, you authorize us (through our payment processor, Stripe) to charge your payment method for the subscription fee at the start of each billing cycle. All fees are in U.S. dollars and exclusive of applicable taxes. You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current paid billing period; you retain access to the Service until that date.

4. Refund Policy

All subscription fees are non-refundable except as required by law. We do not provide refunds or credits for partial billing periods, unused features, account inactivity, or downgrades. If you cancel mid-cycle, you continue to have access through the end of your current paid period and will not be charged for the next cycle. Refund requests outside of these terms will be evaluated on a case-by-case basis at our sole discretion. For full details, see our Refund Policy.

5. Use of the Service

You agree to use the Service only for lawful purposes related to operating a legitimate local service business. You agree NOT to:

• Use the Service to host, generate, or distribute content that is illegal, defamatory, infringing, harassing, sexually explicit, hateful, or that violates the rights of any third party;
• Misrepresent your business or impersonate another person or business;
• Use the Service for any business activity that violates U.S. federal, state, or local law (including but not limited to fraudulent schemes, illegal drugs, weapons sales, or any regulated activity for which you lack proper licensing);
• Reverse engineer, decompile, scrape, copy, or attempt to derive the source code of any part of the Service;
• Use automated tools, bots, or scripts to access or interact with the Service in ways that exceed normal use;
• Resell, sublicense, or rent the Service to third parties without our written agreement;
• Interfere with or disrupt the Service, its servers, or other users.

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

6. AI-Generated Content

The Service uses third-party artificial intelligence (currently provided by Anthropic) to generate website content based on information you provide. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, or factual mistakes. You are solely responsible for reviewing, editing, and verifying all generated content before publishing or relying on it;
• We make no warranty that AI-generated content is accurate, complete, current, fit for a particular purpose, or non-infringing;
• You are responsible for ensuring that all content on your website complies with applicable laws, professional licensing requirements, and advertising regulations in your jurisdiction;
• AI-generated content may resemble content generated for other Grow Local users in similar industries or locations. We do not guarantee uniqueness.

7. Your Content and License

You retain ownership of any content you upload, input, or create using the Service (“Your Content”), including business information, photos, custom text, and logos. By using the Service, you grant Grow Local a worldwide, non-exclusive, royalty-free license to host, display, modify, and process Your Content solely as necessary to provide the Service to you. You represent and warrant that you have all rights necessary to grant this license and that Your Content does not infringe any third party’s rights.

8. Our Intellectual Property

All software, templates, designs, code, logos, and proprietary technology underlying the Service are owned by DM Digital Marketing LLC or our licensors and are protected by U.S. and international intellectual property laws. The Service is licensed to you on a limited, non-exclusive, non-transferable, revocable basis solely for the purpose of using the Service in accordance with these Terms. AI-generated text, structure, and layouts produced via the Service may be used by you on your subscribed website only; you may not export, repurpose, or resell the underlying templates, code, or software.

9. No Guarantee of Results

GROW LOCAL DOES NOT GUARANTEE ANY SPECIFIC OUTCOME FROM USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: SEARCH ENGINE RANKINGS, ORGANIC TRAFFIC, LEADS, PHONE CALLS, CUSTOMER INQUIRIES, SALES, CONVERSIONS, REVENUE, OR ANY OTHER BUSINESS RESULT. Search engine algorithms, market conditions, competition, and many other factors outside our control affect online performance. We provide tools and infrastructure; we do not promise that those tools will produce any particular business result for your business.

10. Third-Party Services

The Service relies on third-party providers including Stripe (payment processing), Anthropic (AI content generation), Vercel (hosting), Supabase (database and authentication), Cloudflare (DNS and security), Resend (email delivery), and Upstash (caching). Your use of the Service is also subject to those providers’ terms and privacy policies. We are not responsible for outages, errors, or issues caused by third-party services.

11. Custom Domains

You may connect your own custom domain to your Grow Local website. You are solely responsible for purchasing, renewing, and maintaining your domain registration with your chosen registrar. We are not responsible for domain expiration, DNS misconfiguration on your end, or registrar disputes. We do not transfer or sell domains.

12. Termination

You may cancel your subscription at any time through your dashboard. Upon cancellation, your subscription remains active until the end of the paid billing period.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, initiated a chargeback, or pose a risk to the Service or other users. Upon termination, your access to the Service ends, your website becomes inaccessible, and your data may be deleted in accordance with our data retention policy.

13. Data Backup and Loss

While we take reasonable measures to back up data, you are responsible for maintaining your own copies of any content you consider important. We are not liable for loss of data resulting from system failures, cyberattacks, your own actions, third-party service issues, or termination of your account.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR ALWAYS AVAILABLE.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DM DIGITAL MARKETING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR DAMAGE TO REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not permitted, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless DM Digital Marketing LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any business activity conducted through your Grow Local website.

17. Modifications to the Service and Terms

We may modify, suspend, or discontinue any feature or part of the Service at any time. We may also revise these Terms from time to time. We will notify you of material changes by posting a notice on our website or sending an email to your account address. Your continued use of the Service after the effective date of any revised Terms constitutes acceptance of the changes. If you do not agree to revised Terms, you must stop using the Service.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Grow Local regarding the Service and supersede all prior agreements, communications, and understandings.

20. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
